1. Purpose and acceptance

These Terms and Conditions ("Terms") govern the use of the CashLessTap platform (the "Service"), operated by GACO SAS de CV ("CashLessTap", "we", "us"), which allows event organizers ("Organizers") to enable cashless payments through NFC wristbands or tags ("Tags") for their attendees ("Attendees"), and allows service vendors within the event ("Vendors") to receive payments and their corresponding settlement.

By topping up balance on a Tag, using it to pay within an event, or by operating as an Organizer or Vendor on the platform, you accept these Terms. If you do not agree, you should not use the Service.

2. Definitions

  • Tag: a wristband or physical device with an NFC chip that stores an identity tied to a balance within a specific event.
  • Balance: the monetary value available on a Tag to pay within the event where it was loaded.
  • Event: the specific edition (date, venue, capacity) organized by an Organizer and operated on the platform.
  • Point of sale / bar: the device and operator authorized by the Organizer to charge or top up Balance during the Event.

3. Nature of the balance and the wristbands/tags

The Balance loaded on a Tag is not regulated electronic money nor a generally accepted means of payment: it is a prepaid balance valid only within the Event and with the Organizer for which it was issued, subject to that Event's specific rules (accepted top-up methods and minimum/maximum limits) that the Organizer defines and that are disclosed to you at the top-up point itself.

Unless the Organizer states otherwise, the Tag is a single-use device per Event. Losing the physical Tag does not necessarily mean losing the right to the associated Balance: see the Refunds section and the balance recovery page.

4. Top-ups

Top-ups are made at the points enabled by the Organizer, using the payment methods the Organizer accepts for that Event (which may include cash, card, or other means, as configured by each Organizer). The topped-up amount is reflected on the Tag according to the Event's currency and rounding; amounts are processed and stored in that currency's smallest unit (e.g. cents) to avoid rounding errors.

The minimum and maximum top-up amount, as well as the accepted methods, are defined by each Organizer for their Event and may vary between events.

5. Use during the event

The Tag must be physically presented to the point-of-sale's NFC reader to authorize any charge; CashLessTap does not offer a remote or app-based mechanism to pay without the physical Tag. A charge may be recorded on the point-of-sale device before being confirmed against the central server, particularly if the venue lacks stable network connectivity at that moment; this does not affect the validity of the charge, which is reconciled as soon as the connection is restored.

The Organizer may block a Tag reported as lost or stolen, or upon reasonable suspicion of fraud, which prevents new charges or top-ups on that Tag until the situation is resolved.

6. Obligations of Organizers and Vendors

The Organizer is responsible for: correctly defining the catalog, prices and top-up rules of their Event; clearly communicating to Attendees the deadline to request the return of remaining Balance described in the Refunds section; and settling with their Vendors according to the commission rules configured for each one. CashLessTap provides the technical platform; the commercial decisions for each Event (prices, commission rates) are the Organizer's.

A Vendor (a brand grouping one or more points of sale within an Event) accepts the commission rate the Organizer configures for them, which is fixed ("frozen") on each transaction at the moment it takes place: a new or modified rate is never applied retroactively to sales that already occurred.

7. Refunds and remaining balance

If a Tag retains unused Balance when the Event ends, the Attendee has 60 calendar days from the Event's end date to request the return of that Balance, following the process described on the balance recovery page.

Once that period elapses without a request having been submitted, the remaining Balance is considered unclaimed balance and becomes the property of GACO SAS de CV. From that point on, every obligation of CashLessTap and of the Organizer to keep, return, or hold it available ceases, and the Attendee loses the right to claim it. The period is counted from the Event's end date, not from the date of the last top-up nor the last purchase.

The 60-day period to request the return of the remaining Balance is separate from the process of verifying that request once submitted: CashLessTap does not guarantee a fixed response time to resolve a request while that process depends on manual verification, as stated on the balance recovery page.

8. Service availability

CashLessTap makes reasonable efforts to keep the Service available, but does not guarantee uninterrupted operation. Points of sale are designed to keep operating without network connectivity and to sync pending operations as soon as connectivity is restored; even so, force majeure events, venue or connectivity-provider infrastructure failures, or scheduled maintenance may affect the Service's availability.

9. Limits of liability

To the extent permitted by applicable law, CashLessTap will not be liable for indirect, incidental, or consequential damages arising from use of the Service. CashLessTap's liability to an Attendee for unused Balance is limited, in all cases, to the amount of that Balance.

Draft pending legal review. The following paragraph is a conservative proposal from this office, not an already validated clause: before treating it as effective, a Salvadoran lawyer must confirm the amounts, the assumptions, and that it is valid under the laws of El Salvador — they may amend it or replace it entirely.

Except where Salvadoran law does not allow limiting liability (for example, willful misconduct or gross negligence), CashLessTap's total accumulated liability to an Organizer, a Vendor, or an Attendee, for any claim related to the Service or arising from these Terms, will not exceed, whichever is greater: (a) the amount of platform commissions actually paid by the corresponding Organizer during the six months prior to the event giving rise to the claim, or (b) in the case of an Attendee, the amount of the unused Balance being claimed. CashLessTap will also not be liable for lost profits, data loss not attributable to it, or acts of third parties outside its reasonable control — including connectivity failures at the venue or with the Organizer's internet provider.

10. Intellectual property

The CashLessTap brand, its logo, and the platform's software are the property of GACO SAS de CV or its licensors. Nothing in these Terms transfers intellectual property rights to Organizers, Vendors, or Attendees, beyond the right to use the Service under these Terms.

11. Changes to these Terms

We may update these Terms to reflect changes in the Service or in applicable law. We will publish the current version on this same page with its update date. Continued use of the Service after an update implies acceptance of the modified Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of El Salvador. For any dispute arising from these Terms, the parties submit to the competent courts of San Salvador, El Salvador, waiving any other venue that might otherwise apply to them.
